By accessing and using Welt's construction ERP platform ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
Welt provides a cloud-based Enterprise Resource Planning (ERP) platform specifically designed for construction companies. Our Service includes but is not limited to:
To use our Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party and to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
You agree not to use the Service:
Certain features of the Service are billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis.
Unless you cancel your Subscription, it will automatically renew at the end of each Billing Cycle for an additional equivalent period, at the then-current subscription rate.
You may cancel your Subscription at any time through your account settings or by contacting us. Your cancellation will take effect at the end of the current paid term. You will not receive a refund for the current Billing Cycle.
Except when required by law, paid Subscription fees are non-refundable. If you believe you were incorrectly charged, please contact us at legal@weltbuild.com within 30 days of the charge.
The Service and its original content, features, and functionality are and will remain the exclusive property ofWelt and its licensors. The Service is protected by copyright, trademark, and other laws.
You retain all rights to the content you submit, post, or display on or through the Service ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute Your Content solely for the purpose of providing the Service to you.
If you provide us with any feedback, suggestions, or ideas about the Service, you agree that we can use them without any restriction or compensation to you.
While we implement industry-standard security measures and perform regular backups, you are responsible for maintaining your own backup copies of Your Content. We will not be liable for any loss or corruption of Your Content, or for any costs or expenses associated with backing up or restoring any of Your Content.
We strive to provide a reliable service, but we do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Service, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Service during any downtime or discontinuance of the Service.
To the maximum extent permitted by applicable law, in no event shall Welt, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Welt and its suppliers and licensors hereby disclaim all warranties of any kind, whether express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement.
You agree to defend, indemnify, and hold harmless Welt and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Weltis registered, without regard to its conflict of law provisions.
Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
No waiver by Welt of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Welt to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
These Terms constitute the entire agreement between you and Welt regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
